What does it mean to serve on the Board of Directors of a
homeowners association? The Jasmine Street
Homeowners Association is a California corporation. The Board of Directors
is responsible to manage that corporation in accordance with the laws of the
state of California, particularly the laws governing homeowners associations,
the Davis-Stirling Common Interest
Development Act, and the
Bylaws of the corporation.
How many directors does JSHOA have? Five.
What are the responsibilities of each Director?
In brief, they are...
President: As chief executive officer has
general supervision, direction and control of the business and officers of the
Association; presides at meetings; signs documents on behalf of the
Association.
Vice President: Acts in the absence or
disability of the president, and performs such other duties as may be
prescribed by the board or the Bylaws.
Secretary: Gives notice, and keeps minutes, of
meetings (this task is delegated to the management company), and performs such
other duties as may be prescribed by the Board or the Bylaws.
Treasurer: Keeps records of the business
transactions of the Association (this task is delegated to the management
company); co-signs all financial documents of the Association; and performs
such other duties as may be prescribed by the Board or the Bylaws.
Member at Large: Performs such duties as may be
prescribed by the Board or the Bylaws.
Upon election, the Directors decide among themselves who will
hold which office. The Bylaws specify four Officers -- President, Vice
President, Secretary and Treasurer. The fifth Director is considered a
"Member at Large." (See page 10 of the
Bylaws currently in effect
for the specific language regarding duties of each officer.)
